Parties Involved:
This Service Agreement (“Agreement”) is entered into by and between:
AAPTA Solutions., a company incorporated under the Companies Act, 2013, having its registered office at Hoysala Nagar, Bangalore, India, hereinafter referred to as the "Service Provider" (which expression shall, unless repugnant to the context or meaning, include its successors and assigns);
AND
You, the "Restaurant" or “Licensee,” being an entity (sole proprietorship/partnership/LLP/private/public company/others) who subscribes to and uses Menuji's software services (which expression shall include its employees, owners, directors, and authorized users).
The Service Provider and the Restaurant are hereinafter referred to individually as a “Party” and collectively as the “Parties.”
1.1 The Service Provider provides a cloud-based restaurant management platform under the brand Menuji that includes tools like POS, QR Menu, Table Management, KOT, Inventory, and Analytics (“Software” or “Services”).
1.2 The Restaurant has approached the Service Provider for the use of the Software and the Services, and the Service Provider agrees to provide access under the terms set out in this Agreement.
2.1 Subject to payment and adherence to this Agreement, the Service Provider grants the Restaurant a non-exclusive, non-transferable, limited license to access and use the Software.
2.2 No ownership, source code, or intellectual property rights are transferred to the Restaurant under this Agreement.
2.3 The Restaurant shall not:
3.1 The Restaurant shall pay fees based on their selected plan (monthly, annually, or one-time service like OTS).
3.2 All fees are exclusive of applicable taxes (e.g., GST). Taxes shall be borne by the Restaurant.
3.3 Non-payment within the stipulated timeline may result in suspension or termination of services without further notice.
4.1 This Agreement shall remain in effect until terminated by either Party.
4.2 The Service Provider may terminate access if:
5.1 The Service Provider agrees to offer setup, onboarding, and one-time training through its One Time Setup Service (OTS) (if purchased).
5.2 The Restaurant is responsible for ongoing operations. Menuji does not manage the restaurant or its content post-setup.
5.3 Support is provided via email, chat, or ticketing channels during business hours.
5.4 The Service Provider may modify features or interfaces from time to time based on updates, compliance, or technical reasons.
6.1 The Restaurant shall ensure accurate input of its menu, pricing, staff roles, and related content.
6.2 The Restaurant is solely responsible for the accuracy, legality, and ownership of all data entered into the Software.
6.3 The Restaurant shall maintain confidentiality of its login credentials and ensure access is granted only to authorized users.
6.4 The Restaurant must not misuse integrations, APIs, or bypass payment systems offered by Menuji.
7.1 Both Parties agree to maintain strict confidentiality regarding business data, pricing, trade secrets, and customer information.
7.2 This clause shall survive termination of this Agreement.
7.3 Neither Party shall disclose confidential information without prior written consent unless required by law.
8.1 The Service Provider may collect and process non-personal usage data and logs for improving the Software.
8.2 Personal and business data are processed in accordance with Menuji’s Privacy Policy.
8.3 The Restaurant consents to such usage and data processing necessary for service delivery, improvements, and analytics.
8.4 Third-party tools integrated into Menuji are subject to their own privacy and security practices.
9.1 Menuji may offer integrations with third-party software such as payment gateways, CRM, delivery, or accounting platforms.
9.2 The Service Provider does not assume responsibility for performance, uptime, data handling, or conduct of third-party tools.
9.3 The Restaurant uses such tools at its own risk and must abide by respective third-party agreements.
10.1 All trademarks, copyrights, software code, interfaces, and other intellectual property in Menuji are and shall remain the sole property of the Service Provider.
10.2 The Restaurant shall not claim ownership or use Menuji branding without prior approval.
11.1 The Service Provider shall not be liable for:
12.1 The Service Provider reserves the right to update this Agreement.
12.2 The updated terms shall be posted on [www.menuji.com], and continued usage implies acceptance.
This Agreement shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
